James R. Hagan, Esq. is a partner in The Hagan Law Firm, Inc. Mr. Hagan has been engaged in the private practice of law in Palo Alto and the Silicon Valley since 1972. Before that, Mr. Hagan worked for five years as Associate General Counsel for Consolidated Freightways, a large national corporation, specializing in the management of nationwide litigation and in labor union matters, and then spent three years in venture capital and as President of a start-up electronics company. Mr. Hagan's principal areas of practice are now corporate formations and corporate representation, venture capital transactions, securities offerings, mergers and acquisitions, complex contract negotiations, and real estate transactions. Mr. Hagan participates in litigation in those practice areas.
Mr. Hagan represents a number of corporations and a real estate investment trust as general counsel, hiring specialists for the client in various areas of the law when and as required. Mr. Hagan's clients have included founders of Intel and Computerland, an inventor of the Winchester disk drive, venture capital companies, and high-technology research companies. Mr. Hagan's special skill is his capacity for sound judgment and clear vision in making and implementing long-term plans and strategic decisions. Mr. Hagan is and has been a director and Secretary of publicly-held and private corporations. He is a member of the State Bar Association and is admitted to practice before the state and federal courts in California. Mr. Hagan currently practices law in both Los Angeles and Northern California. He is also engaged in the development of real estate in Los Angeles.
Mr. Hagan was born in 1935 and reared in Sherman, Texas, near Dallas. He attended college at the University of Oklahoma. Mr. Hagan was a member of the University's National Championship and Orange Bowl football teams in 1956 under coach Bud Wilkinson. While at OU, Mr. Hagan pursued studies in government and ethics, and was elected to the Dean's and President's Honors Lists and to Phi Beta Kappa. He graduated in 1957 with the degree of Bachelor of Arts with Distinction. Mr. Hagan volunteered for service in the United States Marine Corps and, from 1957 to 1962, served as a Marine officer and as a jet fighter pilot of supersonic aircraft. While in the Marine Corps, Mr. Hagan married and fathered three children. Mr. Hagan left the Marine Corps in 1962 to attend law school at Stanford University. He graduated from Stanford Law School in 1964.
In addition to his work in the law, Mr. Hagan holds the degree of Ph.D. in psychology and is a licensed psychologist in the State of California. In his work as a psychologist, Mr. Hagan specializes in the exploration of the unconscious by means of the interpretation of dreams. He is the author of Diamonds of the Night: The Search for Spirit in Our Dreams (published 1996). He is presently at work on a second book entitled Dream Warrior: Life and Death in Dreams. JENNIFER J. HAGAN, ESQ.
Jennifer J. Hagan, Esq. is a partner in The Hagan Law Firm, Inc. Ms. Hagan's principal practice areas include assisting and advising startup corporations, corporate formation, representation, and business law. Ms. Hagan represents clients in connection with venture capital and private securities offerings, and employee stock option matters. Ms. Hagan also negotiates employment contracts, real property leases, employment termination and separation agreements, and provides transactional and litigation services for corporate and business clients. Ms. Hagan regularly negotiates, structures and drafts transactional agreements and advises businesses on restructuring and bankruptcy issues. Ms. Hagan also represents clients involved in equine law related matters.
Ms. Hagan obtained her Bachelor of Arts degree in Communications from California State University at Chico in 1985, where she competed on the Varsity Softball Team for three years and was a Managing Editor for Watershed Magazine, the University's literary publication. Ms. Hagan also holds a Master of Arts with Distinction in writing from Emerson College in Boston, Massachusetts. Ms. Hagan is admitted to the State Bar of California in December 1991, the Ninth Circuit Court of Appeals, and the United States District Court in the Northern District of California. She is member of the Santa Clara County, Palo Alto Bar Association, and the business law section of the California State Bar. Ms. Hagan served on the Parks and Recreation Commission for the City of Palo Alto for 6 years (2000-2005) and is currently an active Board member for the Committee of Green Foothills (March 2006 through Present). Diana Saca has over 15 years of experience in representing both privately held and publicly traded high technology, real estate, retail, and entertainment clients. She has provided comprehensive legal advice, consultation and litigation services to one of the nations largest employers. Ms. Saca has served as outside General Counsel to many of her high technology start-up clients and has advised them through all aspects of formation, funding, intellectual property protection, securities regulation, licensing, employment issues and general business structure and strategy. Ms. Saca has extensive experience in negotiating, drafting and enforcing asset and/or stock purchase agreements, financing (equity and debt) agreements, licensing agreements, manufacturing and services agreements, leases, employment agreements, real estate purchase agreements, strategic partnerships and other standard or complex business contracts. She has negotiated and closed over $2 Billion worth of business contracts with numerous Fortune 500 companies. Ms. Saca is also a significant real estate developer and private-equity investor herself. She is currently in the process of developing 55 acres of commercial raw land and 40 acres of residential land in Northern California.
Ms. Saca was an associate with the San Jose law firm of Ferrari, Alvarez, Olsen & Ottoboni until 1993. In 1993, Ms. Saca became a founding partner of the Silicon Valley law firm, Hagan, Saca & Ryan. In 2000, Ms. Saca left the firm and became a founding partner of EnterVentures, Inc., a high-technology start-up accelerator, while still maintaining her own independent law practice. Ms. Saca now serves as outside counsel for many technology companies in the semi-conductor and manufacturing industries, and provides business and legal consulting services to technology start-ups.
Ms. Saca holds degrees in Political Science and Administration of Justice. She completed certification with the Hong Kong International & Comparative Law Institute and obtained her law degree from Santa Clara University School of Law, where she was a Member and Associate Editor of the Santa Clara Law Review.
