The Hagan Law Firm, Inc., offers its clients responsive and results oriented representation. The Hagan Law Firm seeks to facilitate our clients’ business interests and to resolve problems at an early stage. Our firm is a small but highly focused law firm which represents a broad range of individual, private and publicly-held business clients. Although we strive to prevent the costs, delay and aggravation associated with litigation, if necessary to protect our clients' interests, we vigorously try lawsuits in all state, federal, and administrative courts throughout the State of California. Our principal areas of expertise and practice are described below:
* Organizing and Counseling of Start-Up Companies. The firm has extensive experience in all aspects of assisting entrepreneurs in the planning, organizing and formation of new business entities. The firm prepares a wide variety of agreements, from the standard form to the very creative, in assisting a new company to establish its capital structure, locate and secure funding, find and keep talent, and to successfully grow.
* General Corporate. The firm has broad experience forming corporations and limited liability companies, advising new businesses, and providing corporate maintenance in order to preserve the limited liability aspects of the corporate form. We also represent partnerships, limited partnerships, and individuals doing business in the non-corporate form. We regularly attend meetings of our clients' Shareholders and Board of Directors in order to offer legal counsel and record the minutes thereof as Secretary. We are general corporate counsel to numerous clients ranging in size from small start-up companies to large mature companies, including publicly traded companies. We advise these companies on diverse legal issues including corporate financing and secured lending, protecting and enforcing intellectual property rights, executive compensation, employment law, buy-sell agreements, implementation of employee stock option programs, commercial contracts, real property and equipment leases, business development and the fiduciary obligations of the Board of Directors and corporate officers.
* Securities Law Compliance. We provide representation to clients in connection with all Federal and California securities law matters including the private placement of securities, venture capital financing, employee stock issuances, and public offerings of securities. We advise our clients on compliance with the reporting and disclosure requirements of the Securities Exchange Act of 1934 including the preparation of proxy statements for shareholder meetings and financial reporting. We provide services with respect to all disclosure, filing and reporting obligations associated with non-public and other exempt offers and sales of securities under federal and state securities laws, including private placements pursuant to Regulation D of the Securities Act of 1933. We also regularly advise shareholders in connection with their resale or restricted securities under applicable securities laws and counsel corporations and insiders as to the avoidance of liability for insider trading and short-swing profits.
* Venture Capital and Financing. Our firm represents both companies and investors in all types of equity financing, and we regularly negotiate, structure, and document venture capital financing transactions. We have been active in venture capital transactions involving companies at all stages of business development.
* Mergers and Acquisitions. We represent both buyers and sellers in negotiating and structuring the acquisition or disposition of business assets, including real and personal property. We frequently handle transactions dealing with significant intellectual property rights, effectuate the transfer of copyrights with Register of Copyrights, and collaborate with patent counsel in the transfer of patents with the United States Patent and Trademark office.
* Intellectual Property. We counsel clients in the development of proprietary information protection systems, protection of trade secrets, and the use and enforcement of confidentiality and non-disclosure agreements. We assist clients with applications for federal copyrights and trademark protection at both the state and national level. We represent both plaintiffs and defendants in patent, copyright, trade secret, trademark and mask rights litigation.
* Employment Law. We draft and prepare employee contracts, employee manuals and regularly advise and counsel business clients on the prevention of workplace disputes, the implementation of the Americans with Disabilities Act, and termination of employees.
* Real Estate Practice. We advise clients on their real estate transactions including financing, purchase, sale and lease agreements. Our clients include a real estate investment trust for which we serve as general counsel as well as preparing all required securities law and state corporate filings. We advise and consult with clients on matters of real estate finance, development, construction, exchanges, partnerships and joint ventures. This practice area also overlaps with our bankruptcy, litigation and general corporate practices.
* Equine Law. We advise owners, breeders, trainers, agents, syndicates, boarders, ranches, stables, farms, and veterinarians on a variety of equine related issues concerning ownership and breeding rights, contracts for sale, purchase, consignment, breeding, syndicate and partnership formation, securities and anti-trust issues, duties and rights of trainers, agents, boarders and partners, bankruptcy issues, preparation of real and personal property leases, security law and commercial code issues.
